Terms of Use

These Terms of Use (“Terms”) form a legally binding agreement between GTMomentum Inc. (“GTMomentum”, “we”, “us”, or “our”) and any individual or entity (“you” or “User”) accessing or using any of our websites: gtmomentum.com, tfse.biz, and techsalesrepsengine.com (formerly thesalesrepsengine.com and tsre.biz, which redirect there) (each a “Website”), any associated content or community platforms (including Skool and the TSRE Platform), and any advisory, consulting, coaching, programs, products, or services we deliver (the “Services”). The same Terms apply on every Website.

By using a Website or engaging or purchasing any of our Services, including The Founder’s Sales Engine™ (TFSE) and The Tech Sales Rep’s Engine™ (TSRE), you agree to these Terms, our Privacy Policy, and any other policies or terms posted on any Website. If you do not agree, do not use the Websites or the Services.

Where you and GTMomentum sign a separate engagement agreement or statement of work, or an individual program agreement that is separately negotiated and fully executed by both parties, that agreement governs as of the date of last signature and, in the event of any conflict, supersedes these Terms.

How these Terms are organized. Part A applies to everyone. Part B adds the terms for each offering: GTMomentum advisory and consulting services, the TFSE and TSRE coaching programs, and the specifics of each program. Part C applies to everyone.

Part A — Terms for everyone

1. Use of the Websites

You agree to use the Websites lawfully and not to disrupt them, attempt to gain unauthorized access, or misuse their content. We may modify, limit, or discontinue a Website or its content at any time without notice.

2. Our offerings

GTMomentum Inc. offers:

Subject to Section 11.1 for advisory and consulting engagements, we reserve the right to modify, limit, or discontinue services at our discretion. We do not guarantee that the Services are appropriate or effective for your specific situation.

3. Intellectual property

All materials, tools, frameworks, AI practice partners (including the TFSE Brain and the TSRE AI practice partner), curriculum, asset library content, and all other content provided by GTMomentum Inc. (including on the Websites) are the intellectual property of GTMomentum Inc. and are protected under Canadian and international law. You may not copy, share, resell, redistribute, record, or publicly use any materials, or use them to build or train a competing product or program, without our prior written permission. The licence you receive to use the materials depends on the offering and is set out in Part B.

4. No professional advice, disclaimers, and no guarantees

GTMomentum provides education, coaching, and consulting services. It is not a financial, investment, legal, or tax-advisory service. The Websites and Services are provided “as is”, without warranties of any kind. We do not guarantee revenue, growth, funding, employment, income, or any other specific result. Testimonials and any figures shown on the Websites (such as amounts closed or compensation) reflect individual experience, are illustrative only, are not typical, and are not a promise of what you will achieve. Outcomes depend on your own effort, execution, ability, offer, decisions, and market conditions. Additional acknowledgements for the programs are in Section 12.8.

5. Limitation of liability

To the fullest extent permitted by law, GTMomentum Inc.’s total liability arising under these Terms or from the Websites or the Services (including any engagement, program, community platform, or AI practice partner) shall not exceed the amount you paid to us for the relevant Services or program, and we are not liable for indirect, incidental, or consequential damages, including loss of profits, income, data, or productivity. These limitations do not apply to cases of intentional misconduct or gross negligence.

6. Governing law and dispute resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. You agree to the jurisdiction of the courts located in Ontario, Canada for any dispute arising from these Terms.

7. Eligibility and account security

You must be 18 years or older (or the age of majority where you live, if that is higher) to use the Websites or enrol in our programs. You are responsible for maintaining the confidentiality of any login credentials (including for the Skool community and the TSRE Platform) and for any activity occurring under your account.

8. Text messages (SMS)

By giving us your mobile phone number (including through an application form or booking page), you agree that we may contact you by text message (SMS) for transactional and service purposes, such as application follow-ups, appointment reminders, and account notices. These messages are sent through GoHighLevel (HighLevel, Inc.) using A2P 10DLC messaging.

Message frequency varies and standard message and data rates may apply. You can opt out at any time by replying STOP, and reply HELP for assistance. Consent to receive text messages is not a condition of purchase, and mobile carriers are not liable for delayed or undelivered messages. How we handle the personal information involved is described in our Privacy Policy.

9. General terms

9.1 Changes to these Terms

We may update these Terms at any time. Continued use of the Websites or Services after changes are posted constitutes acceptance of the revised Terms. The “Effective” date above shows when they last changed.

9.2 Assignment

We may assign this agreement at our discretion. You may not assign any rights or obligations without written permission.

9.3 Entire agreement

These Terms, together with any policies referenced or linked and any signed agreement described above, form the entire agreement between you and GTMomentum Inc.

9.4 Severability

If any provision is found unenforceable, the rest of the Terms remain in full force.

9.5 Independent relationship

You agree that no partnership, joint venture, or employment relationship exists between you and GTMomentum Inc.

For advisory and consulting engagements, Sections 9.2 to 9.5 apply only to the extent your engagement agreement does not address the matter.

Part B — Terms for each offering

11. GTMomentum advisory and consulting services

11.1 Our services

GTMomentum provides B2B sales coaching, go-to-market consulting, advisory services, and sales and go-to-market due diligence for technology companies, their teams, and the investors who back them. The specific scope, deliverables, timeline, and fees for any engagement are set out in the individual engagement agreement or statement of work you sign, which governs that engagement. We may decline, modify, or discontinue an engagement at our discretion in accordance with the applicable engagement agreement.

11.2 Engagements, fees, and payment

Fees depend on the engagement and are confirmed in your engagement agreement or statement of work. Payment terms, cancellation, and any refund or termination provisions are governed by that agreement. This is not a performance-based or revenue-share arrangement unless expressly agreed in writing. Where a third-party payment processor is used, your payment is also subject to that provider’s separate terms.

11.3 Licence

Unless your engagement agreement states otherwise, you receive a non-exclusive, non-transferable licence to use the materials for your own internal business use.

12. Coaching programs (TFSE and TSRE)

This section applies to The Founder’s Sales Engine™ and The Tech Sales Rep’s Engine™.

12.1 Payment

Participation is by application. Program fees and the payment arrangement that applies to you are confirmed during enrolment (for TFSE, pricing is determined by persona and the scope that applies to your situation), and may include a one-time payment or an installment plan (for TSRE, corporate reimbursement is available in some cases). This is not a performance-based or revenue-share program. Where a third-party payment processor is used, your purchase is also subject to that provider’s separate terms and conditions.

12.2 Fees and structure

Fees depend on the offer and your situation. Any agreed payment terms will be confirmed in your enrolment materials (for TSRE, the Enrollment Terms, which you accept at checkout).

12.3 Refunds

All payments are final and non-refundable, unless explicitly required by law (for example, Ontario’s Consumer Protection Act). If you choose to terminate participation after services have commenced, you are not entitled to a refund. You are responsible for completing your payment plan in full.

12.4 Non-payment

If an installment is not received within 3 calendar days of the due date, we reserve the right to suspend access to coaching, tools, or the program’s curriculum or asset library, and/or terminate your participation in the program without further notice.

12.5 Program access

Unless otherwise stated, program access includes a defined number of weeks of live group coaching and, where stated in writing at enrolment, lifetime access to the program’s library (the TFSE curriculum library, or the TSRE asset library) and its community (for TSRE, the alumni community). You are responsible for using the live elements within the program term that applies to you. Any access duration is as stated in writing at enrolment.

12.6 Confidentiality

Both parties agree to maintain the confidentiality of non-public, proprietary, or sensitive information shared during the course of the program. This obligation extends for two (2) years beyond program completion. Breach of confidentiality or intellectual-property obligations may result in legal action and injunctive relief.

12.7 Licence to program materials

You receive a non-exclusive, non-transferable licence to use the materials: for TFSE, for your own personal, individual learning and for operating sales within your own business; for TSRE, for your own personal, individual learning only. Upon termination of this agreement, you must cease using and delete all GTMomentum-owned materials except where lifetime access is expressly granted.

12.8 Disclaimers and no guarantees

TFSE and TSRE are educational and coaching programs. We do not guarantee any specific outcome, including but not limited to revenue, growth, funding, client acquisition, hiring outcomes, employment, promotions, income, career growth, or business success. You acknowledge that:

13. The Founder’s Sales Engine™ (TFSE)

The Founder’s Sales Engine™ is a structured program designed to help technical founders escape founder-led sales and build a repeatable B2B sales engine. Services may include:

The AI practice partner (the “TFSE Brain”) is operated as a separate system from the core TFSE program. Its data models, AI processes, and decision logic are managed under distinct controls and governance standards to support integrity, confidentiality, and system independence.

14. The Tech Sales Rep’s Engine™ (TSRE)

The Tech Sales Rep’s Engine™ is a structured program designed to help individuals break into, level up in, and perform at their best in business-to-business technology sales. Services may include:

For clarity, the services do not include recruitment, staffing, job placement, or employment referrals of any kind.

Enrollment Terms. When you enrol in TSRE you accept the TSRE Enrollment Terms at checkout. They form part of your agreement with us and, if they conflict with these Terms on price, refunds, the Until You’re Hired guarantee, or what your enrollment includes, the Enrollment Terms control.

The program is delivered on the TSRE Platform (platform.techsalesrepsengine.com), which we operate. Your use of the TSRE Platform is governed by its own Terms of Use and Privacy Policy, which you accept when you first sign in. Those terms govern the TSRE Platform and, for anything specific to it, take precedence over these Terms.

Part C — Final provisions (applies to everyone)

By proceeding to use a Website, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and any policies and notices posted on the Websites.
