Terms of Use
These Terms of Use ("Terms") form a legally binding agreement between GTMomentum Inc. ("GTMomentum", "we", "us", or "our") and any individual or entity ("you") accessing or using our website gtmomentum.com (the "Website") and any advisory, consulting, or coaching services we provide (the "Services").
By using the Website or engaging our Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Website or the Services.
Where you and GTMomentum sign a separate engagement agreement or statement of work, that agreement governs and, in the event of any conflict, supersedes these Terms as of the date of last signature.
1. Use of the website
You agree to use the Website lawfully and not to disrupt it, attempt to gain unauthorized access, or misuse its content. We may modify, limit, or discontinue the Website or its content at any time without notice.
2. Our services
GTMomentum provides B2B sales coaching, go-to-market consulting, and advisory services for technology companies and their teams. The specific scope, deliverables, timeline, and fees for any engagement are set out in the individual engagement agreement or statement of work you sign, which governs that engagement.
We do not guarantee that the Services are appropriate or effective for your specific situation, and we may decline, modify, or discontinue an engagement at our discretion in accordance with the applicable engagement agreement.
3. Engagements, fees, and payment
Fees depend on the engagement and are confirmed in your engagement agreement or statement of work. Payment terms, cancellation, and any refund or termination provisions are governed by that agreement. This is not a performance-based or revenue-share arrangement unless expressly agreed in writing. Where a third-party payment processor is used, your payment is also subject to that provider's separate terms.
4. TFSE and TSRE (separate offerings)
The Founder's Sales Engine™ (TFSE) and The Sales Rep's Engine™ (TSRE) are separate group programs offered through tfse.biz and tsre.biz. Those programs are governed by their own terms of use and privacy policies on their respective websites. These Terms cover only gtmomentum.com and GTMomentum's direct Services.
5. Intellectual property
All materials, tools, frameworks, and content provided by GTMomentum Inc. are the intellectual property of GTMomentum Inc. and are protected under Canadian and international law. Unless your engagement agreement states otherwise, you receive a non-exclusive, non-transferable licence to use the materials for your own internal business use. You may not copy, share, resell, redistribute, record, or publicly use any materials, or use them to build or train a competing product or program, without our prior written permission.
6. No professional advice and disclaimers
GTMomentum provides education, coaching, and consulting services. It is not a financial, investment, legal, or tax-advisory service. The Website and Services are provided "as is", without warranties of any kind. GTMomentum does not guarantee revenue, growth, funding, or any specific result. Any figures shown on the Website reflect individual experience, are illustrative, are not typical, and are not a promise of what you will achieve. Outcomes depend on your own effort, ability, offer, decisions, and market conditions.
7. Limitation of liability
To the fullest extent permitted by law, GTMomentum Inc.'s total liability arising from the Website or an engagement shall not exceed the amount you paid to us for the relevant Services, and we are not liable for indirect, incidental, or consequential damages, including loss of profits, income, data, or productivity. These limitations do not apply to cases of intentional misconduct or gross negligence.
8. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. You agree to the jurisdiction of the courts located in Ontario, Canada for any dispute arising from these Terms.
9. Changes to these terms
We may update these Terms at any time. Continued use of the Website or Services after changes are posted constitutes acceptance of the revised Terms. The "Effective" date above shows when they last changed.
