GTMomentum Inc. Terms of use
Effective Date: July 10, 2025
These Terms of Use (“Terms”) form a legally binding agreement between GTMomentum Inc. (“we”, “us”, or “our”) and any individual or entity (“you” or “User”) accessing or using our website www.gtmomentum.com, any associated content or communication platforms (including Simplero and Whop.com), and any programs, products, or services we deliver (collectively, the “Website” or “Platform”).
By using our Website or purchasing any of our offerings, including The Founder’s Sales Engine™ (TFSE), you agree to these Terms, our Privacy Policy, and any other policies or terms posted on the Website. If you do not agree, do not use our Website or services.
1. SERVICES OFFERED
We provide strategic consulting and business advisory services, including access to The Founder’s Sales Engine™ (TFSE), a structured program designed to help B2B companies build a repeatable, scalable sales system. Services may include:
Weekly 1:1 coaching and implementation callsICP, USP, and outbound messaging development
Sales process and qualification frameworks
Live deal reviews and objection handling
Roleplay and performance diagnostics
Asynchronous support via email or Slack
Access to proprietary frameworks and TFSE curriculum
We reserve the right to modify, limit, or discontinue services at our discretion. We do not guarantee that the services are appropriate or effective for your specific business context.
2. PAYMENT & REFUND POLICY
2.1 Payment Processing
All payments are processed via Whop.com. You agree to Whop’s separate terms and conditions, in addition to ours, when making a purchase.
2.2 Fees and Structure
The standard TFSE program fee is $12,000 USD, payable either as:
Payment terms may vary based on offer structure or promotional conditions. Any agreed terms will be confirmed at checkout.
2.3 Refunds
All payments are final and non-refundable, unless explicitly required by law (e.g., Ontario’s Consumer Protection Act). If you choose to terminate participation after services have commenced, you are not entitled to a refund. You are responsible for completing your payment plan in full.
2.4 Non-Payment
If an installment is not received within 3 calendar days of the due date, we reserve the right to:
Suspend access to coaching, tools, or the curriculum; and/or
Terminate your participation in the program without further notice.
3. PROGRAM ACCESS
Unless otherwise stated, TFSE access includes:
You are responsible for using your access within the timeframe allotted. We do not guarantee lifetime access unless explicitly stated in writing.
4. INTELLECTUAL PROPERTY
All materials, tools, frameworks, and curriculum content provided by GTMomentum Inc. are the intellectual property of GTMomentum Inc. and are protected under Canadian and international law.
You receive a non-exclusive, non-transferable license to use the materials for your own internal business purposes only. You may not copy, share, resell, redistribute, or publicly use any materials without prior written permission.
Upon expiration of access or termination of this agreement, you must delete and cease using all GTMomentum-owned materials.
5. CONFIDENTIALITY
Both parties agree to maintain the confidentiality of non-public, proprietary, or sensitive business information shared during the course of the program. This obligation extends for two (2) years beyond program completion.
Breach of confidentiality or intellectual property obligations may result in legal action and injunctive relief.
6. DISCLAIMERS & NO GUARANTEES
TFSE is an educational and strategic advisory program. We do not guarantee any specific outcomes, including but not limited to revenue increases, client acquisition, or business growth.
You acknowledge:
Results depend on your execution, market conditions, and other external factors
Testimonials are for illustrative purposes only
GTMomentum Inc. is not liable for missed opportunities, lost revenue, or business setbacks
7. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
GTMomentum Inc.’s total liability under this agreement shall not exceed the amount paid by you for the program
We are not liable for indirect, incidental, or consequential damages including loss of profits, revenue, data, or productivity
These limitations do not apply to cases of intentional misconduct or gross negligence
8. GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by the laws of the Province of Ontario, Canada.
9. ELIGIBILITY & ACCOUNT SECURITY
You must be 18 years or older to use this Website or enroll in our programs. You are responsible for maintaining the confidentiality of any login credentials and for any activity occurring under your account.
10. GENERAL TERMS
10.1 Amendments
We may update these Terms at any time. Continued use of the Website or services after changes constitutes acceptance of the revised Terms.
10.2 Assignment
We may assign this agreement at our discretion. You may not assign any rights or obligations without written permission.
10.3 Entire Agreement
These Terms, together with any policies referenced or linked, form the entire agreement between you and GTMomentum Inc.
10.4 Severability
If any provision is found unenforceable, the rest of the Terms remain in full force.
10.5 Independent Relationship
You agree that no partnership, joint venture, or employment relationship exists between you and GTMomentum Inc.
12. CONFIRMATION OF AGREEMENT TO TERMS OF USE
BY PROCEEDING TO USE THE WEBSITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD AND AGREE TO BE BOUND BY THESE TERMS OF USE AND ANY POLICIES AND NOTICES POSTED ON THE WEBSITE.
